TERMS AND CONDITIONS OF USE FOR THE WEBSITES OF EVERSHEDS ATTORNEYS LTD AND HEINONEN & CO, ATTORNEYS-AT-LAW, LTD.

General about using the websites

Welcome to the websites (hereinafter ‘the Websites’) of  Eversheds Attorneys Ltd and Heinonen & Co, Attorneys-at-Law, Ltd. (hereinafter ‘Eversheds’). These Terms and Conditions shall apply to all Websites of Eversheds regardless of which terminal device is used to access the Websites. The User is encouraged to read these Terms and Conditions carefully before using the Websites. By using the Websites, the User is considered to have accepted the current Terms and Conditions of Use and to have undertaken to comply with them.

Eversheds hereby grants the User limited, non-exclusive and revocable rights to access the Websites and to use them and the material they contain, including but not limited to articles and other texts, images, graphics and software (hereinafter ‘the Material’) in accordance with these Terms and Conditions of Use. The User may only use the Websites and the Material for personal and non-commercial purposes. Granting the limited user rights as specified herein shall not constitute transfer of ownership rights or any other intellectual property rights.

The User shall not have the right to adapt or replicate the Material in any way, in whole or in part, altered or unaltered, or to share, distribute or convey the Material or present it in public, unless specifically provided for or enabled in these Terms and Conditions of Use or on the Websites (for instance by incorporating in the Websites a facility for sharing the Material in social media services). The User shall be obliged to retain in any printouts and copies of the Material any and all notices pertaining to copyright and other rights contained in the Material. In addition to these Terms and Conditions of Use, the User shall comply with any and all further terms and conditions or limitations specified on the Websites.

Commitments by the User

The User undertakes not to disrupt or to attempt to disrupt the operations of the Websites in any way. The User undertakes to use the Websites in compliance with at the time valid Terms and Conditions of Use and applicable legislation.

The User undertakes not to use the Websites: (a) for forwarding spam or other illicit telecommunications, (b) for posing as a representative of Eversheds, (c) for falsifying header data or identifiers or handling them in any other way designed to conceal the origin of content conveyed through the Websites, (d) for any activities that may compromise the ability of other users to access the Websites, (e) for any illegal or unethical activity, or (f) for collecting or storing of the personal data of other users. If the User does not accept and commit to these restrictions, the User shall not have the right to use the Websites. Eversheds reserves the right to exercise its legal rights with regard to a breach against any of the commitments herein required.

The User shall indemnify and hold harmless Eversheds and all its employees, managers and representatives against any and all suits and claims that may arise from the User’s use of the Websites.

Information security

The User shall not have the right: (a) to use any devices or software capable of disrupting the operations of the Websites, (b) to carry out any actions that place an unreasonable burden on the structure of the Websites, or (c) disrupt any software or functions on the Websites. The aforementioned prohibited actions include but are not limited to the incorporating in the Websites of viruses, timed disruptive software or any other components capable of interfering with the programmed structure of the Websites.

Intellectual property rights

The Websites and the Material are the property of Eversheds or its partners and are protected by copyright legislation and international copyright conventions.

Any and all intellectual property rights vested in the Websites (including but not limited to copyright, registered and unregistered trade marks and models, patents, domain names, business secrets and database rights) shall remain the property of  Eversheds or its partners. Eversheds does not grant the User any rights to any such intellectual property rights directly or indirectly.

Links to external websites and external links to the Websites

Eversheds may incorporate in the Websites links to websites maintained by other parties. Clicking such links will transfer the User away from the Websites. Eversheds neither supervises nor verifies the content of external websites and shall not be held liable for the correctness, reliability or information security of any external website. You are advised to view the terms and conditions of use and instructions for any external website before using that website. Any accessing of external websites by the User is at the User’s sole responsibility.

External websites may incorporate ordinary text-only hyperlinks to the Websites. Such a link shall open up a new browser window and not a frame in the website containing the link, and the link must require being clicked by the user in order to activate. Such a link may not incorporate trade marks of Eversheds in graphic form.

Links on the Websites to external websites, and external links to the Websites, shall not be construed to demonstrate any relationship between Eversheds and any third party so linked to or from.

Personal data and cookies

Eversheds shall process personal data on users obtained through the Websites as allowed and required in current legislation on personal data. The processing of personal data is described in more detail in the description of the data file based on customer relationships and other relevant connection to the  Eversheds Group. The User is advised to read that description. If the User submits personal data through the Website, the data submitted by the User shall be up to date and correct.

Cookies or similar technology may be employed to collect information on the usage of the Websites and the User’s terminal device, such as which pages of the Websites the User has accessed and when, and where the User accessed the Websites from.

Cookies enable the processing of information on user numbers and other details concerning the usage of the Websites. This information enables, among other things, analysis of the functioning of the Websites for the purpose of improving user experiences. The information further enables targeted marketing and re-marketing on external websites. The User may block cookies if he so chooses by changing his browser settings. However, removing or blocking cookies may disrupt or even prevent the use of the Websites or certain functions therein.

Changes to the Terms and Conditions of Use and to the Websites

Eversheds reserves the right to amend these Terms and Conditions of Use at its sole discretion at any time. Amendments to the Terms and Conditions of Use shall enter into force when a notification to that effect has been posted on the Websites. Using the Websites after the Terms and Conditions of Use have been amended shall constitute acceptance of such amendments.

Eversheds shall be entitled at any time and without advance notice to amend the Websites, the Material or any part thereof; to correct errors and shortcomings therein; to make any other changes to the Websites and the Material; and to remove any parts of the Websites, including Website functions. Eversheds shall moreover have the right to limit the use of the Websites or parts thereof without advance notice or liability for compensation.

Limitation of liability

Eversheds shall aim to ensure continued and undisrupted availability of the Websites to the best of its ability.  Eversheds shall not be held responsible for the uninterrupted, timely or error-free operation of the Websites. Every effort is made to ensure that the Websites, the Material and other information are correct. However, Eversheds shall not be held responsible for the correctness of the content. Eversheds makes no warranty in respect of the completeness of the Material nor of the reliability of any advice, opinion, statement or information posted on or conveyed through the Websites. Using and relying on such advice, opinions, statements or information is at the User’s sole responsibility, and the User is advised to consult an expert in order to receive advice pertaining to the User’s particular situation. Neither the Websites nor the Material shall in themselves be construed as legal advice or a legal statement.

Eversheds makes no warranty in respect of the security of the Websites. The User accepts that Eversheds cannot guarantee the information security of any information conveyed through the Websites. Eversheds makes no warranty that the Websites or the servers hosting them or the software maintaining them are free of viruses or other harmful components. The User accepts that  Eversheds shall not be held liable for any material or information that the User sends or receives, or fails to send or receive, through the Websites.

Eversheds shall not be held liable for any direct, indirect, incidental or consequential damage based on liability or specific damage (including but not limited to damage caused by loss of business, contracts, profit or information, or the interruption of business) caused by the use of or the inability to use the Websites or their content or by these Terms and Conditions of Use, irrespective of whether the damage was due to agreement, infringement of rights, negligence or any other cause, even if Eversheds was informed in advance of the possibility of such damage. Eversheds shall also not be held liable for any errors, shortcomings, faults or delays in the information contained in the Websites.

In any case, the liability of Eversheds shall be limited to the liability provided for in mandatory legislation.

Applicable legislation

These Terms and Conditions of Use shall be governed by Finnish law. The parties undertake to resolve any disputes arising from these Terms and Conditions of Use primarily through negotiation. If the parties are unable to reach a settlement, the dispute shall be resolved at the Helsinki District Court in Finland.
